Commercial Rights and Usage of Your Custom Music

1. Assignment of Rights and Ownership

Upon the Customer's full and final payment for a custom song created by Lyric Loop Music, the Company assigns to the Customer all commercial rights, title, and interest in and to the final audio output ("the Song") generated by the Company from the Customer’s request (the "Submission").

The Song is provided to you under a commercial license, which permits you to use it for both non-commercial and commercial purposes worldwide, in perpetuity, and without requiring further payment of royalties to Lyric Loop Music.

2. Permitted Commercial Use

The Commercial Rights granted to you include, but are not limited to, the right to:

  • Distribution: Distribute and sell the Song through digital streaming platforms (DSPs) such as Spotify, Apple Music, Tidal, Amazon Music, etc.

  • Monetization: Generate revenue by integrating the Song into video content on monetizing platforms, such as YouTube or other social media channels.

  • Direct Sales: Sell the Song directly to consumers (e.g., via digital downloads or physical media).

  • Synchronization: License and synchronize the Song for use in television, film, video games, advertisements, and other media projects.

  • Adaptation: Create derivative works of the Song, such as remixes, instrumental versions, or extended edits.

3. Critical Disclaimers and Limitations

You acknowledge and agree to the following limitations, which are necessary due to the nature of AI-generated content:

A. No Guarantee of Copyright Protection

The Song is generated using Artificial Intelligence technology. Lyric Loop Music makes no representation or warranty that the Song is eligible for copyright protection in any jurisdiction (including the United States, where copyright law currently requires an element of human authorship).

  • If the Song is found to be ineligible for copyright, it may be deemed to have no legal protection against unauthorized use by third parties.

  • If you provided your own original lyrics, you retain the copyright to those lyrics.

B. Risk of Similarity and Uniqueness

Due to the fundamental nature of the underlying AI music generation models, it is possible for the platform to generate songs that are similar or identical for other users.

  • Lyric Loop Music does not warrant that the Song is unique.

  • Lyric Loop Music will not be liable for any claims, costs, or damages arising from the Song being similar or identical to content generated for another party.

C. Indemnity

The Customer agrees to indemnify, defend, and hold harmless Lyric Loop Music from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • The Customer’s use of the Song, including any claims of copyright infringement or misappropriation of intellectual property by a third party.

  • The Customer’s failure to comply with these Terms and Conditions.
